Client Services Agreement for Pinnacle Program

Effective Date: Nov 7th, 2023

THE AGREEMENT: This Client Services Agreement (the "Agreement") is between Limitless Leaders, Inc. (the "Service Provider") and you, as a participant of the Service, as defined below.

This Agreement is incorporated by reference in its entirety. This Agreement governs the use of all pages and screens in and on the Pinnacle Program (collectively referred to as "Pinnacle Program") and any services provided by or on this Limitless Leaders ("Services") and/or on the Limitless Leaders website and community ("Website").

Article 1 - DEFINITIONS:

A) The parties referred to in this Agreement shall be defined as follows:

Limitless Leaders, Inc., us, we: Limitless Leaders, as the creator, operator, and publisher of the Pinnacle Program, is responsible for providing the Pinnacle Program publicly. Limitless Leaders, us, we, our, ours and other first-person pronouns will refer to Limitless Leaders, as well as, if applicable, all employees and affiliates of Limitless Leaders.
You, the user, the participant: You, Pinnacle Program participant and Website user, will be referred to throughout this Agreement as you, your, yours, or user or participant.
Parties: Collectively, the parties to this Agreement (Limitless Leaders, Inc. and You) will be referred to as Parties.

B) The Program details are as follows:

Program Name: Pinnacle Program
Program Description: The Pinnacle Program is a transformative program designed to elevate participants' leadership skills. Through a combination of personalized coaching, interactive learning, expert mentorship, valuable resources, and real-world experiences, you will learn to lead with confidence, inspire your team, and achieve outstanding outcomes.
The program includes the following offerings:
- 24 60-minute 1:1 Breakthrough Coaching sessions
- Access to our exclusive Leadership Mastery Circles for six months
- Access to our exclusive biweekly Speakers Club for six months
- Your 30-page Maxwell DISC Assessment
- Priority support via email and text for six months
- [Bonus] Access to Uma’s Premium Leadership and Professional Development Toolkit

Article 2 - LICENSE TO USE THE WEBSITE & ACCESS THE Pinnacle Program MATERIALS:

Through the Website and Community platform, you may receive some information about the Pinnacle Program. Our paperwork, data, and other materials may help you participate in the Pinnacle Program ("Materials"). This Agreement grants you a non-exclusive, restricted, non-transferable, and revocable license to use the Materials solely for your participation in the Pinnacle Program and use of the Website and Community. The Materials may not be used for any other purpose, and this license terminates when you finish the Pinnacle Program, stop using the Website, or end this Agreement.

Article 3 - Pinnacle Program TERMS:

1. Access to Program Features:

As participants in the Pinnacle Program, you will have access to the following program features:

Access to our exclusive Leadership Mastery Circles for six months
Access to our exclusive biweekly Speakers Club for six months

2. Billing:

Billing for the Pinnacle Program membership will occur as specified upon joining, and you are committing to a 6-month membership.
The specific billing date and amount will be clearly indicated on your subscription page.

3. Cancellation:

You are committing to a 6-month membership in the Pinnacle Program, and cancellation during this period is not allowed.

4. Video Recordings and Promotion:

Private 1:1 coaching video recordings will not be used for promotion.
Participants acknowledge and agree that video recordings and/or photos or screenshots taken by Limitless Leaders during the Leadership Mastery Circles, Speakers Club or other program sessions may be used for promotional and/or social media purposes.

5. Confidentiality and Sharing of Log-in Details:

The Pinnacle Program and its materials are confidential.
Sharing or disclosing log-in details may result in immediate cancellation of access.

6. Supplemental Resources:

Active subscribers have access to supplemental materials that accompany each session in the Pinnacle Program during the initial 6 months of membership.

7. Program Disclaimer:

The Pinnacle Program does not offer any promises or guarantees.It is developed for strictly educational purposes ONLY.
The Client accepts and agrees that they are 100% responsible for their progress and results from the Program. The Client understands that because of the nature of the program and its extent, the results experienced by each client may significantly vary.
Users are responsible for their own decisions and actions, including their mental and physical health, business decisions, and any changes to their business or life.
Participation in the program is at the user's own risk, and the program is not intended to provide medical, therapeutic, financial, or legal services.
Users should seek counseling, medical, financial, or legal services from qualified professionals in those respective fields.

By participating in the Pinnacle Program, you warrant that you have read and reviewed this Agreement and that you agree to be bound by it.

Article 4 - INTELLECTUAL PROPERTY:

You agree that Limitless Leaders owns all rights, titles, and interests in the Pinnacle Program, Website, Services, and its materials, including copyrights, trademarks, trade secrets, patents, URLs, and other intellectual property. You will not use it unlawfully or infringingly, and you will not replicate or distribute it without the company's consent, nor use it to confuse customers or discredit the company.

Limitless Leaders may reproduce, modify, adapt, create derivative works from, distribute, display, license, assign, transfer, and/or otherwise use the Work, and all elements and derivatives thereof, in whole or in part, in all media (including, without limitation, on social media platforms or any other social media websites or applications), worldwide, in perpetuity, royalty-free, and without restriction of any kind. You acknowledge the ownership and validity of Limitless Leaders' copyrights, brands, trademarks, trade dress, and patent rights, whether or not created by or contributed by you.

Article 5 - CONTENT YOU SHARE:

The Pinnacle Program program allows users to share content on the program's website and community. By participating and using the website, you grant the program a license to use and make derivative works of the materials you share without claiming any ownership or exclusive rights to them. You are also required to comply with the acceptable use provision and not violate the intellectual property rights of any third party through your posts. If you believe your intellectual property rights have been violated by another user, you can contact the program to report it.

Article 6 - REGISTRATION AND PERSONAL INFORMATION:

As a participant in the Pinnacle Program, you will be asked to register with a user identifier and a password, and provide personal information, such as your name, email address. You are responsible for ensuring the accuracy of this information and must not share it with any third party. If your information is compromised, you must notify the program immediately, and you are responsible for maintaining the safety and security of your information and keeping the program informed of any changes.

Article 7: YOUR OBLIGATIONS:

As a participant in the Pinnacle Program, you will be required to:

Actively participate in the 1:1 coaching sessions, engaging with the coach to receive personalized guidance and applying the theory you've learned during these sessions.
Attend live training & practice sessions to maximize your learning experience, apply the theory, and solidify your understanding. However, if you are unable to attend the live sessions, you can access the session recordings to catch up on the content.
Make an effort to participate actively in the supportive community to keep yourself accountable and motivated. Share your experiences, provide feedback to others, and seek help and advice when needed.
Follow the program guidelines and instructions provided by the coaches. Practice regularly and implement the feedback received from the coaches and peers.
Maintain a positive attitude towards the program and other participants, respecting their journey and experiences.
Agree that any intellectual property developed while participating in the Pinnacle Program belongs to Limitless Leaders or will be licensed to Limitless Leaders.

Article 8: ATTENDANCE AND TIMELINESS:

For 1:1 coaching sessions, punctuality is essential, reflecting your discipline and commitment to personal development.
We understand that plans change and ask that you please provide at least 24 hours' notice if you need to cancel.
If you don't show up within 20 minutes of the agreed start time, it will be considered a "No Show," and the session may be deemed completed with applicable charges.
While regular attendance is encouraged for all weekly live training sessions and networking events, unforeseen circumstances may arise. Please inform program administrators in advance if you are unable to attend.
Participants are requested to join the virtual program at least 5–10 minutes before the scheduled start time. Late arrivals and early departures can disrupt the program's flow and others' learning experiences.

Article 9: SESSION CANCELLATION AND RESCHEDULING

We reserve the right to cancel a Pinnacle Program session, including 1:1 coaching sessions, Leadership Mastery Circles, or Speakers Club, due to insufficient enrollment, emergencies, inclement weather, or other events beyond our control. In the event a session is canceled, we will notify you as soon as possible. We will do our best to reschedule when we are able to do so again

Article 10 - ACCEPTABLE USE:

You agree not to use the Pinnacle Program or the Website for any unlawful or prohibited purpose. You also agree not to use the Pinnacle Program or the Website in any way that could damage the program, website, services, or business of the program.

You also agree not to use the program or website for any of the following activities: Harassing, abusing, threatening others, or otherwise violating any person's legal rights; violating any intellectual property rights of the program or any third party; uploading or otherwise disseminating any computer viruses or other software that may damage the property of another; perpetrating any fraud; engaging in or creating any unlawful gambling, sweepstakes, or pyramid scheme; publishing or distributing any obscene or defamatory material; publishing or distributing any material that incites violence, hate, or discrimination towards any group; unlawfully gathering information about others.

Article 11 - NO LIABILITY:

The Pinnacle Program, Website, and Community are for informational purposes only and are not intended as legal, medical, or financial advice. Participation in the program is at your own risk, and the program does not take responsibility or liability for any information provided in it.

Article 12 - NO REFUND POLICY AND LATE PAYMENT FEES:

In the event of non-payment for services rendered, the provider reserves the right to enforce a no refund policy, charge interest or a late fee, and recover any costs of collection, including reasonable attorney fees.

Article 13 - REVERSE ENGINEERING & SECURITY:

You agree not to undertake any of the following actions:

Reverse engineer or attempt to reverse engineer or disassemble any content or resource from or on the Pinnacle Program or Website;
Violate the security of the Pinnacle Program or Website through any unauthorized access, circumvention of encryption or other security tools, data mining, or interference with any host, user or network.

Article 14 - DATA LOSS:

Confidentiality and data security are of utmost importance to us, and we take reasonable measures to protect your personal and confidential information. However, we cannot guarantee the security of your account or content, and participation in the program and use of the website or community is at your own risk. We recommend that you take appropriate precautions to safeguard your personal and confidential information, including but not limited to, using strong passwords, enabling two-factor authentication, and refraining from sharing sensitive information in public forums. By participating in the program, you acknowledge and accept these risks and agree to hold us harmless from any damages or losses arising from data loss or security breaches, to the fullest extent permitted by law.

Article 15 - INDEMNIFICATION:

By participating in the Pinnacle Program, you agree to indemnify, defend and hold us and our affiliates harmless from any and all claims, damages, liabilities, costs, and expenses, including reasonable attorney's fees, arising from your participation in the program, use or misuse of the website, breach of this agreement, or your conduct or actions. We reserve the right to select our own legal counsel and participate in our own defense if we choose to do so. This provision shall survive the termination of this agreement.

Article 16 - SPAM POLICY:

You are strictly prohibited from using the Pinnacle Program for illegal spam activities, including gathering email addresses and personal information from others or sending any mass commercial emails.

Article 17 - MODIFICATION & VARIATION:

We have the right to modify this Agreement at any time without notice and the modifications will take effect immediately upon posting on the website. The modifications will replace any prior version of the Agreement, unless the prior versions are specifically referred to or incorporated into the latest modification. If any part of the Agreement is held ineffective or invalid by a court of law, the prior effective version of the Agreement will be considered enforceable and valid to the fullest extent.

Article 18 - SERVICE INTERRUPTIONS:

The Pinnacle Program may be interrupted for scheduled or unscheduled maintenance or emergency services. You accept that unplanned or unscheduled downtime may disrupt your access to the Pinnacle Program and/or Website for whatever reason, but we shall have no liability for any harm or loss caused by such downtime.

Article 19 - TERM, TERMINATION & SUSPENSION:

We reserve the right to terminate this Agreement at any time for any reason, including violation of any terms outlined in this Agreement, such as intellectual property rights infringement, failure to comply with laws or legal obligations, and publishing or distributing illegal material. You can also terminate this Agreement by contacting us and requesting termination. Upon termination, some provisions of this Agreement will remain in effect. Please note that termination of this Agreement does not entitle you to a refund on any money spent with us.

Article 20 - NO WARRANTIES:

You agree that your participation in the Pinnacle Program and use of the website is at your own risk and any services provided by us are on an "As Is" basis. The program specifically disclaims any express or implied warranties, including fitness for a particular purpose and merchantability. There are no warranties that the program or website will meet your needs, be uninterrupted, error-free, or secure, or that the information provided is reliable or accurate. Any damage that may occur to you, your computer system, or loss of data as a result of your participation in the program or use of the website is your sole responsibility and the program is not liable for any such damage or loss.

Article 21 - LIMITATION ON LIABILITY:

We are not liable for any damages that may occur to you as a result of your participation in the Pinnacle Program or your use of the Website, to the fullest extent permitted by law. The maximum liability of Pinnacle Program arising from or relating to this Agreement is limited to the amount you paid to us. This applies to any and all claims by you, including, but not limited to, lost profits or revenues, consequential or punitive damages, negligence, strict liability, fraud, or torts of any kind.

Article 22 - GENERAL PROVISIONS:

LANGUAGE: All communications and notices related to this Agreement must be in the English language.

JURISDICTION, VENUE & CHOICE OF LAW: By participating in the Pinnacle Program and using the Website, you agree that any matter or dispute relating to or arising out of this Agreement, as well as any dispute of any kind that may arise between you and us, shall be governed by the laws of the State of Washington, with the exception of its conflict of law provisions. In case any litigation specifically permitted under this Agreement is initiated, the Parties agree to submit to the personal jurisdiction of the state and federal courts of the State of Washington. The Parties also agree that this choice of law, venue, and jurisdiction provision is mandatory and you waive the right to any objection of venue, including assertion of the doctrine of forum non conveniens or similar doctrine.

ARBITRATION: In case of a dispute between the parties, they will first try to resolve it personally and in good faith. If they cannot, they will submit the dispute to binding arbitration in the State of Washington, conducted by a single arbitrator. The arbitrator will be bound by Federal and state law of Washington. Each party will pay their own costs and fees. Claims that can be arbitrated include contract, tort, federal and state law, and local laws and regulations. Intellectual property claims by us will not be subject to arbitration and may be litigated. The parties waive their rights to a jury trial for arbitral claims.

ASSIGNMENT: This Agreement cannot be transferred or assigned by the participant and if Pinnacle Program assigns it, their rights and liabilities will be binding on any assignees, administrators, successors, or executors.

SEVERABILITY: The Agreement will be enforced to the maximum extent possible even if a part of it is held invalid or unenforceable by a court of law or competent arbitrator, and the remaining parts of the Agreement will continue to be in full force.

INJUNCTIVE RELIEF: A breach of any of the promises or agreements contained herein will result in irreparable and continuing damage to Company for which there will be no adequate remedy at law, and Company shall be entitled to injunctive relief and/or a decree for specific performance, and such other relief as may be proper. In addition to injunctive relief and/or a decree for specific performance, the Company may also seek monetary damages if deemed appropriate.

NO WAIVER: In the event that we fail to enforce any provision, this shall not constitute a waiver of any future enforcement of that provision or any other provision. Waiver of any part of this agreement will not constitute a waiver of any other part.

HEADINGS FOR CONVENIENCE ONLY: Headings of parts and subparts under this Agreement are for convenience and organization only. Headings shall not affect the meaning of any provisions of this Agreement.

NO AGENCY, PARTNERSHIP OR JOINT VENTURE: No agency, partnership, or joint venture has been created between the Parties as a result of this Agreement. No Party has any authority to bind the other to third parties.

FORCE MAJEURE: We are not liable for any failure to perform due to causes beyond our reasonable control, including, but not limited to, acts of God and acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts that may be due to unforeseen circumstances.

ELECTRONIC COMMUNICATIONS PERMITTED: Electronic communications are permitted to both Parties under this Agreement, including e-mail or fax. For any questions or concerns, please email us at the following address: support@thelimitlessleaders.com.

ENTIRE AGREEMENT

The Agreement constitutes the entire agreement between you and the Company and supersedes any prior understandings or agreements (written or oral). 2. Billing:

Billing for the Pinnacle Program membership will occur as specified upon joining, and you are committing to a 3-month membership.
The specific billing date and amount will be clearly indicated on your subscription page.

3. Cancellation:

You are committing to a 3-month membership in the Pinnacle Program, and cancellation during this period is not allowed.

4. Video Recordings and Promotion:

Private 1:1 coaching video recordings will not be used for promotion.
Participants acknowledge and agree that video recordings and/or photos or screenshots taken by Limitless Leaders during the Leadership Mastery Circles, Speakers Club or other program sessions may be used for promotional and/or social media purposes.

5. Confidentiality and Sharing of Log-in Details:

The Pinnacle Program and its materials are confidential.
Sharing or disclosing log-in details may result in immediate cancellation of access.

6. Supplemental Resources:

Active subscribers have access to supplemental materials that accompany each session in the Pinnacle Program during the initial 3 months of membership.

7. Program Disclaimer:

The Pinnacle Program does not offer any promises or guarantees.It is developed for strictly educational purposes ONLY.
The Client accepts and agrees that they are 100% responsible for their progress and results from the Program. The Client understands that because of the nature of the program and its extent, the results experienced by each client may significantly vary.
Users are responsible for their own decisions and actions, including their mental and physical health, business decisions, and any changes to their business or life.
Participation in the program is at the user's own risk, and the program is not intended to provide medical, therapeutic, financial, or legal services.
Users should seek counseling, medical, financial, or legal services from qualified professionals in those respective fields.

By participating in the Pinnacle Program, you warrant that you have read and reviewed this Agreement and that you agree to be bound by it.

Article 4 - INTELLECTUAL PROPERTY:

You agree that Limitless Leaders owns all rights, titles, and interests in the Pinnacle Program, Website, Services, and its materials, including copyrights, trademarks, trade secrets, patents, URLs, and other intellectual property. You will not use it unlawfully or infringingly, and you will not replicate or distribute it without the company's consent, nor use it to confuse customers or discredit the company.

Limitless Leaders may reproduce, modify, adapt, create derivative works from, distribute, display, license, assign, transfer, and/or otherwise use the Work, and all elements and derivatives thereof, in whole or in part, in all media (including, without limitation, on social media platforms or any other social media websites or applications), worldwide, in perpetuity, royalty-free, and without restriction of any kind. You acknowledge the ownership and validity of Limitless Leaders' copyrights, brands, trademarks, trade dress, and patent rights, whether or not created by or contributed by you.

Article 5 - CONTENT YOU SHARE:

The Pinnacle Program program allows users to share content on the program's website and community. By participating and using the website, you grant the program a license to use and make derivative works of the materials you share without claiming any ownership or exclusive rights to them. You are also required to comply with the acceptable use provision and not violate the intellectual property rights of any third party through your posts. If you believe your intellectual property rights have been violated by another user, you can contact the program to report it.

Article 6 - REGISTRATION AND PERSONAL INFORMATION:

As a participant in the Pinnacle Program, you will be asked to register with a user identifier and a password, and provide personal information, such as your name, email address. You are responsible for ensuring the accuracy of this information and must not share it with any third party. If your information is compromised, you must notify the program immediately, and you are responsible for maintaining the safety and security of your information and keeping the program informed of any changes.

Article 7: YOUR OBLIGATIONS:

As a participant in the Pinnacle Program, you will be required to:

Actively participate in the 1:1 coaching sessions, engaging with the coach to receive personalized guidance and applying the theory you've learned during these sessions.
Attend live training & practice sessions to maximize your learning experience, apply the theory, and solidify your understanding. However, if you are unable to attend the live sessions, you can access the session recordings to catch up on the content.
Make an effort to participate actively in the supportive community to keep yourself accountable and motivated. Share your experiences, provide feedback to others, and seek help and advice when needed.
Follow the program guidelines and instructions provided by the coaches. Practice regularly and implement the feedback received from the coaches and peers.
Maintain a positive attitude towards the program and other participants, respecting their journey and experiences.
Agree that any intellectual property developed while participating in the Pinnacle Program belongs to Limitless Leaders or will be licensed to Limitless Leaders.

Article 8: ATTENDANCE AND TIMELINESS:

For 1:1 coaching sessions, punctuality is essential, reflecting your discipline and commitment to personal development.
We understand that plans change and ask that you please provide at least 24 hours' notice if you need to cancel.
If you don't show up within 20 minutes of the agreed start time, it will be considered a "No Show," and the session may be deemed completed with applicable charges.
While regular attendance is encouraged for all weekly live training sessions and networking events, unforeseen circumstances may arise. Please inform program administrators in advance if you are unable to attend.
Participants are requested to join the virtual program at least 5–10 minutes before the scheduled start time. Late arrivals and early departures can disrupt the program's flow and others' learning experiences.

Article 9: SESSION CANCELLATION AND RESCHEDULING

We reserve the right to cancel a Pinnacle Program session, including 1:1 coaching sessions, Leadership Mastery Circles, or Speakers Club, due to insufficient enrollment, emergencies, inclement weather, or other events beyond our control. In the event a session is canceled, we will notify you as soon as possible. We will do our best to reschedule when we are able to do so again.

Article 10 - ACCEPTABLE USE:

You agree not to use the Pinnacle Program or the Website for any unlawful or prohibited purpose. You also agree not to use the Pinnacle Program or the Website in any way that could damage the program, website, services, or business of the program.

You also agree not to use the program or website for any of the following activities: Harassing, abusing, threatening others, or otherwise violating any person's legal rights; violating any intellectual property rights of the program or any third party; uploading or otherwise disseminating any computer viruses or other software that may damage the property of another; perpetrating any fraud; engaging in or creating any unlawful gambling, sweepstakes, or pyramid scheme; publishing or distributing any obscene or defamatory material; publishing or distributing any material that incites violence, hate, or discrimination towards any group; unlawfully gathering information about others.

Article 11 - NO LIABILITY:

The Pinnacle Program, Website, and Community are for informational purposes only and are not intended as legal, medical, or financial advice. Participation in the program is at your own risk, and the program does not take responsibility or liability for any information provided in it.

Article 12 - NO REFUND POLICY AND LATE PAYMENT FEES:

In the event of non-payment for services rendered, the provider reserves the right to enforce a no refund policy, charge interest or a late fee, and recover any costs of collection, including reasonable attorney fees.

Article 13 - REVERSE ENGINEERING & SECURITY:

You agree not to undertake any of the following actions:

Reverse engineer or attempt to reverse engineer or disassemble any content or resource from or on the Pinnacle Program or Website;
Violate the security of the Pinnacle Program or Website through any unauthorized access, circumvention of encryption or other security tools, data mining, or interference with any host, user or network.
